These Terms and Conditions (“Terms”) govern your access to and use of ArundelPost, including the website located at ArundelPost.com, newsletters, email publications, social media channels, digital products, subscriptions, advertising services, events, reader submissions, and other services offered by ArundelPost.

ArundelPost is a publication operated by Ayot Media Corp. References in these Terms to “ArundelPost,” “we,” “our,” or “us” include ArundelPost, Ayot Media Corp., and their respective owners, officers, employees, contractors, journalists, contributors, affiliates, agents, and service providers where applicable.

By accessing or using ArundelPost, you agree to these Terms.

If you do not agree, you should not use our website or services.

1. ACCEPTANCE OF TERMS

Your access to or use of ArundelPost constitutes your agreement to be legally bound by these Terms and our Privacy Policy.

These Terms apply whether you are:

  • a casual visitor;

  • advertiser;
  • contributor;
  • commenter;
  • event participant;
  • business submitting information;
  • person submitting a news tip;
  • person submitting photographs, videos, documents, or other material; or
  • otherwise using an ArundelPost service.

Certain products, subscriptions, advertisements, promotions, events, or services may have additional terms.

If additional written terms conflict with these Terms, the more specific terms will control with respect to that particular transaction or service.

2. RIGHT TO MODIFY THESE TERMS

ArundelPost may modify these Terms periodically.

Changes become effective when the revised Terms are posted unless a different effective date is stated.

Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Material changes affecting an existing paid service will be handled in accordance with applicable law and any applicable subscription agreement.

3. ARUNDELPOST CONTENT

Unless otherwise stated, the website and its contents are owned by or licensed to ArundelPost.

This includes, without limitation:

  • articles;
  • investigations;
  • photographs;
  • graphics;
  • illustrations;
  • databases;
  • election information;
  • charts;
  • maps;
  • newsletters;
  • videos;
  • audio;
  • interviews;
  • rankings;
  • directories;
  • logos;
  • designs;
  • page layouts;
  • headlines;
  • original research;
  • data compilations;
  • downloadable materials;
  • software;
  • and other editorial or creative material.

This material is protected by copyright, trademark, database, unfair competition, and other intellectual-property laws.

All rights not expressly granted are reserved.

4. LIMITED PERSONAL USE LICENSE

ArundelPost grants users a limited, revocable, non-exclusive, non-transferable license to access our content for personal and noncommercial use.

This permission does not transfer ownership of any ArundelPost intellectual property.

You may share links to ArundelPost articles through email, social media, messaging applications, and other ordinary sharing methods.

You may quote reasonable excerpts with appropriate attribution and a link to the original ArundelPost article where appropriate.

Unless ArundelPost provides written authorization, you may not reproduce, republish, distribute, sell, commercially exploit, systematically copy, or create substantial derivative collections from ArundelPost content.

5. SCRAPING, AUTOMATED ACCESS AND AI TRAINING

Except with our prior written authorization, you may not use automated means to systematically access, copy, extract, download, harvest, monitor, reproduce, or collect ArundelPost content.

Prohibited methods include, without limitation:

  • web scraping;
  • crawling intended to copy substantial content;
  • automated downloading;
  • data mining;
  • content harvesting;
  • bulk extraction;
  • database replication;
  • automated article summarization services that reproduce substantial portions of our content;
  • bots designed to collect ArundelPost material; or
  • circumventing technological measures intended to restrict automated access.

You may not use ArundelPost content, without our prior written permission, to train, fine-tune, develop, benchmark, populate, operate, or improve a commercial artificial-intelligence system, machine-learning model, large language model, content-generation system, search corpus, retrieval system, or competing database.

Ordinary indexing by legitimate public search engines may be permitted subject to our technical instructions, robots.txt rules, and other restrictions.

ArundelPost reserves the right to block automated systems, IP addresses, accounts, or technologies that we reasonably believe violate these Terms.

6. JOURNALISM AND EDITORIAL INDEPENDENCE

ArundelPost maintains editorial control over its journalism.

Nothing in these Terms gives any reader, subscriber, advertiser, source, contributor, political candidate, organization, government agency, business, or other person a right to:

  • dictate our coverage;
  • require publication;
  • prevent publication;
  • demand favorable coverage;
  • demand removal of lawful reporting;
  • control headlines;
  • control article placement;
  • approve articles before publication;
  • require changes to editorial conclusions; or
  • influence editorial decisions because of an advertising or commercial relationship.

Advertising, sponsorship, subscriptions, or other payments do not guarantee editorial coverage.

ArundelPost may determine, in its editorial discretion, what matters to investigate, report, publish, update, correct, archive, or decline to cover.

7. ACCURACY AND CORRECTIONS

ArundelPost endeavors to provide accurate and timely journalism.

However, news develops quickly; information may change; sources may provide incorrect or incomplete information; public records may contain errors; and previously accurate information may later become outdated.

Accordingly, ArundelPost does not guarantee that every article, database, listing, election result, business record, event listing, quotation, statistic, or other item will always be complete, current, error-free, or suitable for a particular purpose.

ArundelPost may correct, update, clarify, revise, remove, or supplement content at any time.

The manner in which a correction or update is handled remains within ArundelPost's editorial discretion, subject to applicable law.

8. ARCHIVES AND UNPUBLISHING

ArundelPost maintains news archives as part of its journalistic mission and historical record.

Publication of an article creates no obligation for ArundelPost to remove that article at a later date.

Requests for deletion, anonymization, alteration, search engine de-indexing, or unpublishing may be considered, but remain subject to ArundelPost's editorial judgment and applicable law.

The fact that circumstances have changed after publication does not automatically require alteration or deletion of a previously accurate report.

ArundelPost may nevertheless update or annotate archived material when we determine it is appropriate.

9. NEWS TIPS AND SOURCES

Readers may provide news tips, documents, photographs, recordings, information, or story ideas.

Submitting information to ArundelPost does not, by itself, create:

  • an attorney-client relationship;
  • employment relationship;
  • contractual relationship;
  • reporter-source confidentiality agreement;
  • fiduciary relationship; or
  • obligation to publish the information.

Unless an authorized ArundelPost journalist expressly agrees otherwise, information sent through ordinary website forms, social media, email, or other general communication channels should not be assumed to be confidential.

If source confidentiality is essential, you should establish confidentiality with an authorized member of our editorial staff before transmitting particularly sensitive information.

10. USER SUBMISSIONS

If you submit photographs, videos, comments, letters, event announcements, business announcements, documents, articles, graphics, reviews, tips, data, or other material to ArundelPost (“User Content”), you retain whatever ownership rights you otherwise possess.

However, by submitting User Content for publication, consideration, promotion, or use by ArundelPost, you grant ArundelPost a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to:

  • use;
  • reproduce;
  • publish;
  • display;
  • distribute;
  • archive;
  • edit;
  • format;
  • crop;
  • translate;
  • excerpt;
  • adapt;
  • promote;
  • transmit;
  • and otherwise use

the User Content in connection with ArundelPost's journalism, publications, websites, newsletters, social-media accounts, archives, promotional materials, and related operations.

This license continues for material already published or incorporated into ArundelPost's archives even if you later stop using our services.

ArundelPost is not required to publish submitted material.

We may edit or reject submissions in our discretion.

11. YOUR REPRESENTATIONS REGARDING SUBMISSIONS

By submitting content, you represent and warrant that:

  1. you own the material or have sufficient permission to submit it;
  2. publication does not knowingly violate another person's copyright, trademark, privacy, publicity, contractual, or other legal rights;
  3. the submission does not contain unlawful material;
  4. you have obtained necessary permissions from photographers, creators, or other rights holders where required; and
  5. information you provide in connection with the submission is not intentionally fraudulent or materially misleading.

You remain responsible for material you provide.

12. COMMENTS AND COMMUNITY PARTICIPATION

If ArundelPost offers commenting or other community features, we may moderate, edit, close, restrict, or remove participation at our discretion.

Users may not post material that:

  • contains unlawful threats;
  • constitutes unlawful harassment;
  • impersonates another person;
  • infringes intellectual property;
  • contains malicious software;
  • intentionally spreads fraudulent information;
  • reveals another person's highly sensitive private information without lawful justification;
  • attempts to interfere with our website; or
  • otherwise violates applicable law or these Terms.

ArundelPost may suspend or permanently prohibit users from community features without prior notice where reasonably necessary.

13. ACCOUNTS

If ArundelPost provides user accounts, you are responsible for maintaining the confidentiality of your login credentials.

You are responsible for activity conducted through your account unless unauthorized access results from circumstances legally attributable to ArundelPost.

You may not sell, transfer, rent, or allow unauthorized persons to use an account.

ArundelPost may suspend or terminate an account where we reasonably believe there has been:

  • fraud;
  • unauthorized access;
  • misuse;
  • nonpayment;
  • violation of these Terms;
  • illegal activity;
  • security risk; or
  • abuse of ArundelPost services.

14. PAID SUBSCRIPTIONS

ArundelPost may offer paid subscriptions, memberships, premium newsletters, digital products, or other paid services.

Prices, billing periods, benefits, and applicable renewal terms will be disclosed at the time of purchase.

Except where required by law or expressly stated otherwise, fees already earned or attributable to a completed billing period are nonrefundable.

Cancellation generally prevents future renewal and does not automatically create a refund for a billing period that has already begun.

ArundelPost may change subscription prices prospectively by providing any notice required by applicable law.

15. AUTOMATIC RENEWALS

If ArundelPost offers an automatically renewing subscription, the applicable purchase page will disclose the renewal terms, price, billing frequency, and cancellation method as required by applicable law.

Where automatic renewal applies, the customer authorizes ArundelPost or its payment provider to charge the applicable payment method at each renewal until cancellation.

Cancellation affects future renewals.

Nothing in these Terms eliminates any cancellation, notice, consent, refund, or other right that applicable law requires ArundelPost to provide.

16. PAYMENTS

ArundelPost may use third-party payment processors.

By making a purchase, you authorize the applicable payment processor and ArundelPost to process charges associated with your purchase.

You agree to provide accurate billing information and maintain a valid payment method where recurring payment is applicable.

ArundelPost may suspend access to paid services following unsuccessful payment attempts.

You remain responsible for undisputed amounts legitimately owed for products or services already provided.

17. REFUNDS

Unless a specific written offer states otherwise, purchases are final once the relevant digital service, advertising campaign, subscription period, event, sponsorship, or product has begun or been delivered, except where a refund is required by law.

ArundelPost may provide refunds, credits, extensions, advertising makegoods, or other accommodations at its discretion.

Providing an accommodation in one instance does not require ArundelPost to provide the same accommodation in another.

18. ADVERTISING

ArundelPost may accept advertisements, sponsored content, classifieds, announcements, political advertising, business advertising, employment listings, real-estate listings, event promotions, and other paid placements.

Acceptance of payment does not guarantee acceptance or continued publication of an advertisement.

ArundelPost reserves the right, subject to applicable law and contractual commitments, to reject, suspend, remove, reschedule, or require changes to advertisements that we reasonably believe:

  • violate law;
  • violate these Terms;
  • infringe another person's rights;
  • contain materially deceptive content;
  • create technical or security problems;
  • falsely imply ArundelPost endorsement;
  • damage the integrity of our publication; or
  • conflict with our advertising standards.

Payment for advertising does not purchase editorial influence.

19. ADVERTISER RESPONSIBILITY

Advertisers are responsible for the legality and accuracy of advertising materials they provide.

Advertisers represent that they possess necessary rights, licenses, releases, permissions, substantiation, and authorizations for their advertisements.

The advertiser is responsible for compliance with laws applicable to its advertisement, including disclosure, consumer-protection, intellectual-property, campaign-finance, privacy, promotional, and industry-specific requirements where applicable.

ArundelPost's acceptance of an advertisement does not constitute legal approval of the advertisement.

20. ADVERTISING PERFORMANCE

Unless ArundelPost expressly guarantees a specific result in a signed agreement, we do not guarantee:

  • sales;
  • leads;
  • clicks;
  • impressions;
  • conversions;
  • voter response;
  • website traffic;
  • customer acquisition;
  • revenue;
  • public response;
  • search ranking; or
  • any particular commercial outcome.

Estimated audience figures, impressions, circulation, traffic, or engagement figures may change.

Where a signed advertising agreement expressly guarantees impressions or another deliverable and ArundelPost materially underdelivers, any agreed makegood, replacement placement, credit, or refund will be governed by that advertising agreement.

21. ADVERTISER INDEMNIFICATION

To the fullest extent permitted by law, an advertiser agrees to defend, indemnify, and hold harmless ArundelPost, Ayot Media Corp., and their owners, officers, employees, journalists, contractors, and agents from third-party claims, liabilities, damages, judgments, costs, and reasonable legal fees arising from:

  • advertising material supplied by the advertiser;
  • claims made in the advertisement;
  • infringement caused by advertiser-provided materials;
  • advertiser violation of law;
  • advertiser violation of these Terms; or
  • products or services promoted by the advertiser.

This section does not require an advertiser to indemnify ArundelPost for liability caused solely by ArundelPost's own unlawful conduct where indemnification is prohibited by law.

22. EVENTS, BUSINESS LISTINGS AND DIRECTORY INFORMATION

ArundelPost may publish community calendars, directories, election information, business listings, government information, public records, event information, restaurant information, development information, or other databases.

Information may come from public records, businesses, government agencies, reader submissions, third parties, or automated feeds.

A listing does not constitute an endorsement.

Businesses and event organizers remain responsible for confirming information such as dates, prices, availability, hours, addresses, requirements, cancellations, and other details.

23. THIRD-PARTY LINKS

ArundelPost frequently links to outside websites as part of its journalism.

Links may include government websites, reports, businesses, nonprofits, research papers, advertisers, social networks, documents, and other third-party resources.

A link does not necessarily mean that ArundelPost endorses the linked organization, product, position, claim, or service.

ArundelPost does not control third-party websites and is not responsible for their content, security, availability, products, privacy practices, or actions.

You access third-party websites at your own risk.

24. NO PROFESSIONAL ADVICE

ArundelPost provides journalism and general informational content.

Unless expressly stated otherwise, our content is not individualized:

  • legal advice;
  • tax advice;
  • investment advice;
  • medical advice;
  • financial advice;
  • engineering advice; or
  • other professional advice.

You should consult an appropriately qualified professional when making decisions requiring professional advice.

25. NO GUARANTEE OF CONTINUOUS SERVICE

ArundelPost may modify, suspend, discontinue, redesign, restrict, or replace any website feature, newsletter, subscription offering, application, database, publication schedule, or other service.

We do not guarantee that the website will operate uninterrupted or without error.

Temporary interruptions may occur due to maintenance, hosting issues, cyberattacks, third-party service failures, internet outages, emergencies, software errors, or other circumstances beyond our reasonable control.

26. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARUNDELPOST SERVICES AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

ARUNDELPOST DISCLAIMS WARRANTIES NOT EXPRESSLY REQUIRED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ARUNDELPOST DOES NOT WARRANT THAT:

  • THE WEBSITE WILL ALWAYS BE AVAILABLE;
  • ALL CONTENT WILL ALWAYS BE ERROR-FREE;
  • EVERY NEWS DEVELOPMENT WILL BE COVERED;
  • THIRD-PARTY INFORMATION WILL BE ACCURATE;
  • THE WEBSITE WILL BE FREE FROM ALL SECURITY THREATS; OR
  • USE OF THE WEBSITE WILL PRODUCE A PARTICULAR RESULT.

Nothing in this section excludes a warranty that cannot legally be excluded.

27. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARUNDELPOST, AYOT MEDIA CORP., AND THEIR OWNERS, OFFICERS, EMPLOYEES, JOURNALISTS, CONTRIBUTORS, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE ARUNDELPOST.

THIS INCLUDES, WHERE PERMITTED BY LAW, LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, REPUTATIONAL LOSS, OR SIMILAR CONSEQUENTIAL LOSS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARUNDELPOST'S TOTAL AGGREGATE LIABILITY ARISING FROM A PARTICULAR CLAIM RELATING TO A PAID SERVICE WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID ARUNDELPOST FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR

(B) $100.

For users who paid ArundelPost nothing, ArundelPost's aggregate liability will not exceed $100, to the extent such a limitation is permitted by law.

These limitations do not apply where liability cannot lawfully be excluded or limited.

28. USER INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ArundelPost, Ayot Media Corp., and their respective owners, officers, employees, journalists, contributors, contractors, and agents from third-party claims arising from:

  • content you submit;
  • your unlawful use of the website;
  • your material breach of these Terms;
  • infringement caused by material you provided;
  • fraud or misrepresentation committed by you; or
  • your violation of another person's legal rights.

This obligation applies only to the extent permitted by applicable law.

29. COPYRIGHT COMPLAINTS

ArundelPost respects intellectual-property rights.

A copyright owner who believes material available through ArundelPost infringes copyright may submit a copyright complaint containing sufficient information to identify:

  • the copyrighted work;
  • the allegedly infringing material;
  • its location on ArundelPost;
  • the copyright owner's contact information; and
  • other information required by applicable law.

Copyright notices should be sent to:

ArundelPost – Copyright / DMCA Agent

ArundelPost may remove or restrict access to material while evaluating an infringement complaint.

Nothing in this section constitutes an admission that material is infringing.

30. SECURITY AND PROHIBITED CONDUCT

You may not:

  • attempt unauthorized access to ArundelPost systems;
  • probe or scan our systems for vulnerabilities without authorization;
  • distribute malware through our services;
  • interfere with website operation;
  • intentionally overload our infrastructure;
  • bypass access controls or paywalls;
  • falsify headers or technical identifiers;
  • impersonate ArundelPost;
  • use our trademarks deceptively;
  • collect user information through unauthorized means;
  • use our services for unlawful activity; or
  • assist another person in doing any of these things.

ArundelPost may take technical, contractual, or legal measures to protect its systems and content.

31. TERMINATION AND SUSPENSION

ArundelPost may restrict, suspend, or terminate access to services where reasonably necessary to:

  • enforce these Terms;
  • address nonpayment;
  • respond to security concerns;
  • protect our systems;
  • prevent fraud;
  • comply with law;
  • respond to abuse; or
  • protect ArundelPost or other users.

Where circumstances warrant immediate action, ArundelPost may act without prior notice.

Termination does not eliminate obligations or rights that, by their nature, should survive termination, including intellectual-property rights, accrued payment obligations, licenses relating to previously published submissions, indemnification, disclaimers, limitations of liability, and dispute provisions.

32. GOVERNING LAW

These Terms and disputes arising from them are governed by the laws of the State of Maryland, without regard to conflict-of-law principles, except where federal law or another mandatory law applies.

33. VENUE

To the fullest extent permitted by law, legal proceedings arising from these Terms or your use of ArundelPost shall be brought in an appropriate state court located in Anne Arundel County, Maryland, or an appropriate federal court having jurisdiction in Maryland.

You consent to the personal jurisdiction of those courts to the extent permitted by law.

Nothing in this section prevents either party from using a small-claims court having lawful jurisdiction or exercising a statutory right that cannot legally be waived.

34. GOOD-FAITH DISPUTE NOTICE

Before commencing litigation over a dispute arising directly from these Terms, the complaining party should provide written notice describing the dispute and requested resolution and allow the other party a reasonable opportunity to resolve it informally.

This provision does not shorten any statute of limitations or other legally required period for bringing a claim.

Notices to ArundelPost should be directed to:

35. FORCE MAJEURE

ArundelPost will not be responsible for delay or failure to perform an obligation resulting from circumstances beyond its reasonable control, including:

  • natural disasters;
  • severe weather;
  • power outages;
  • telecommunications failures;
  • cyberattacks;
  • labor disruptions;
  • war;
  • civil disorder;
  • government action;
  • public emergencies;
  • failures of third-party technology providers; or
  • similar circumstances.

This provision does not excuse obligations that applicable law does not permit us to disclaim.

36. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without ArundelPost's written consent.

ArundelPost may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, transfer of the publication, or similar business transaction, subject to applicable law.

37. NO WAIVER

If ArundelPost does not enforce a provision of these Terms on one occasion, that does not waive our right to enforce it later.

Any waiver must be expressly authorized.

38. SEVERABILITY

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed where necessary.

The remaining provisions will continue in effect.

39. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any applicable subscription agreement, advertising agreement, insertion order, purchase terms, contest rules, event terms, or other written terms governing a specific transaction, constitute the agreement between you and ArundelPost regarding the applicable services.

40. NO THIRD-PARTY BENEFICIARIES

Except where expressly stated, these Terms do not create enforceable rights for any person or entity that is not a party to them.
